Corporate/Commercial

As a leading offshore financial centre, the Isle of Man is the jurisdiction of choice for a wide variety of corporate vehicles and structures with interests around the globe. We have considerable experience of working with clients, lawyers and other professionals in many other jurisdictions and regularly advise upon all aspects of corporate business, from the formation of companies, partnerships, Limited Partnerships, LLCs and trust structures, to their restructuring, liquidation or dissolution. We have experience in advising upon shareholder agreements, Memoranda and Articles of Association, corporate governance, financial assistance, reductions or redemption of share capital, schemes of arrangement, the duties of directors and other office holders, the conduct of meetings, domestic and cross-border joint ventures, acquisitions, and disposals.

Mergers / Acquisitions

We have experience in helping clients through both mergers and acquisitions and the associated due diligence exercise that is often required. We can provide bespoke packages of service to meet a specific client’s needs and encourage clients to involve us at the earliest stages of any such deal to enable us to then help strategise the most cost effective but thorough way to advance the same.

Start up advice

As the Isle of Man is such a melting pot of innovation and entrepreneurial activity, we have gained considerable experience in assisting clients with the start up and growth of new and exciting businesses from local meat producers, a micro distillery to a Graphene research and development company.

We have excellent relationships with all the key Governmental and political members required and can and have assisted clients navigate the often turbulent and roller coaster ride that is starting or expanding a new business on the Island. We also have a network of experienced and talented non-legal professionals with whom we work on these sorts of projects and to help clients access the most cost effective and appropriate assistance they require.

Insolvency and Restructuring

As with everything in life, things sometimes go wrong! In our dealings with a wide range of clients we have thus developed skills to also help clients when business ventures have not gone to plan. This might be by way of a solvent winding up of their business or a more stressful insolvent situation arising, requiring either a Liquidation of the business or simply an arrangement being reached with its creditors. In all cases, we look to assist clients through these situations in a considered manner and so as to have proper regard for all stakeholders who are inevitably touched by such events and in particular, helping clients navigate the often complex and difficult responsibilities and liabilities they need to manage.
